RydFree LTD Driver Agreement
This Agreement outlines the terms and conditions under which RydFree will allow the driver to use its vehicles and services. By using RydFree’s vehicles, the Driver agrees to comply with the following terms and conditions.
- Introduction
- This Agreement outlines the terms and conditions under which the Driver is granted the use of a vehicle provided by the Company for both business purposes and personal use.
- The Driver acknowledges and agrees that this Agreement does not establish an employment relationship with the Company; the Driver will not receive any monetary compensation for their services.
- Vehicle Uses and Responsibilities
- Use of Vehicle. The Driver is granted the right to use the vehicle for personal and business purposes with the UK and Ireland without restriction on distance or travel location.
- International Use. Should the Driver wish to operate the vehicle outside the United Kingdom, prior written consent from RydFree must be taken. The Driver must obtain permission from the Company, this allows the company to update the necessary insurance coverage and ensure compliance with international driving laws and regulations.
- Fuel and Expenses. The Driver is responsible for all fuel costs, road tolls, and congestion charges incurred during the use of the vehicle.
- Fines and Penalties. The Driver shall be solely responsible for any fines or penalties incurred, including but not limited to speeding tickets, parking fines, and traffic violations.
- Insurance and Maintenance. RydFree will cover the costs of road tax, insurance, vehicle maintenance, and servicing. Tyres, and breakdown recovery. The Driver must inform RydFree immediately of any mechanical issues or accidents involving the vehicle.
- Modifications to a Vehicle
- Prohibited Modifications. The Driver must not make any modifications to the vehicle without prior written consent from Rydfree. This includes but is not limited to alterations to the vehicle’s exterior, and interior, mechanical changes, aesthetic modifications, or installations of aftermarket parts. The vehicle must also retain any signage, including any advertisements or company branding installed on the vehicle such as the roof sign, which must not be removed under any circumstances.
- Permitted Modifications. Rydfree may authorise certain modifications, such as the installation of a towbar or dual controls for driving instructors, only upon request. Any modifications must be professionally installed and in accordance with all applicable laws and regulations.
- Driver’s Licence and Insurance
- Licence Requirements. The Driver must hold a full UK or European driving licence. A copy of the valid driving licence and proof of address where the vehicle will be kept must be provided to the Company before the delivery of the vehicle.
- Licence Revocation. The Driver is required to notify the Company immediately if their driving licence is suspended, revoked, or subject to any restrictions.
- Multiple Drivers. RydFree will insure multiple drivers for each vehicle, including family members, friends, or colleagues, provided that each additional driver meets the licence requirements and their details are furnished to RydFree in advance.
- Termination Notice
- Notice of Termination. Either party may terminate this Agreement at any time by giving thirty (30) days’ written notice to the other party.
- Return of Vehicle. Upon termination of the Agreement, the Driver is required to return the vehicle to RydFree in a condition like how the Driver received it at the beginning of the Agreement. It can be subject to normal wear and tear.
- Requirements for Mileage and Usage
- Mileage Limit. There is no upper limit on the mileage that the Driver can cover with the vehicle. RydFree encourages the Driver to use the vehicle as much as possible, as extensive use contributes to the operational goals of the Company.
- Expectations of Minimum Usage. While there is no mandatory minimum mileage requirement, the Driver is expected to use the vehicle regularly. If the vehicle remains unused for more than 48 consecutive hours without prior notification to RydFree, the Company reserves the right to review and potentially terminate the Agreement. If the Driver anticipates an extended period of non-use, such as for a holiday, they must inform RydFree in advance.
- Advertisement and Monitoring
- Digital Billboard. The vehicle will be equipped with a digital billboard for the purpose of displaying advertisements. This advertising is a key component in funding the provision of the vehicle and helps cover its associated costs.
- Installation of GPS and Other Sensors. The vehicle will be fitted with GPS tracking and other sensors to monitor the location of the vehicles and also to track the routes taken. These measures are in place to ensure vehicle safety and operational transparency.
- Other Equipment. The Company may also install other monitoring equipment, including cameras and/or recording devices on the exterior of the vehicle. These devices are intended to enhance security and provide valuable data for associated operational analysis. Please note, that no data will be recorded from inside the vehicle, thereby respecting the privacy of the Driver and any passengers.
- Permitted Uses
- Personal Use. The vehicle provided by the Company can be used for personal purposes, including general day-to-day activities and family outings. This encompasses routine travel such as commuting, shopping, and leisure activities, ensuring that the Driver has flexibility in their use of the vehicle for personal needs. The Driver also agrees to not use the vehicle for carrying out any illegal work or purpose.
- Business Use. Rydfree also permits the Drivers to use the vehicle for business-related purposes, which may include roles such as operating as a driver for ride-hailing services like Uber, performing food deliveries, or engaging in other high-mileage commercial activities. The business users must inform the Company of the intended business use of the vehicle at the time of signing this Agreement. Any changes to the nature of the business use must also be promptly communicated to RydFree to facilitate appropriate insurance coverage adjustments and ensure compliance with the relevant regulations.
- Selection of Vehicle. Divers have the option to choose from the range of vehicles listed by RydFree at the time of their application. They are allowed to select their preferred model, colour, transmission type, and fuel type. The Company will endeavour to accommodate these preferences as closely as possible, subject to availability and operational considerations.
- Cleanliness and Safety of the Vehicle Drivers are expected to maintain the cleanliness of the vehicle, including the exterior and interior, as well as any installed signage and camera sensors. This obligation is to be met within reasonable expectations of cleanliness and operational use. Drivers must also take reasonable precautions to safeguard the vehicle and its equipment from damage, theft, or misuse.
- Processing Fees and Conditions
- Processing Fee. Upon signing up with RydFree, a non-refundable processing fee of £200 is required from each driver. This fee is not a deposit but serves as a commitment fee, ensuring the legitimacy of the Driver’s application and deterring fraudulent orders. This fee is necessary for each vehicle order, regardless of the number of vehicles ordered by a single entity.
- Fee Use and Refund Policy. The processing fee is refundable up to a maximum of 30 days from the date of payment, provided that no vehicle has yet been ordered. Once a vehicle has been ordered, the fee becomes non-refundable. The fee covers costs related to minor damage repairs, acts as an insurance excess for major damages, and can be applied towards unpaid traffic violations or parking fines incurred by the driver. Should the vehicle be returned without any such incidents, the processing fee will be refunded in full. The £200 fee represents the maximum financial liability of the Driver for the duration of the vehicle’s use, ensuring that no additional payments will be required for any other circumstances.
- Delivery and Replacement of Vehicle
- Vehicle Replacement. RydFree commits to replacing the vehicle every three years, providing the Driver with the opportunity to select a new vehicle from the available options at the time of replacement. This ensures that the Driver benefits from a consistently modern and reliable vehicle for their personal and business use.
- Timeline of Delivery. RydFree aims to deliver the selected vehicle within a timeframe of three to four months from the date of order. This timeline is subject to change based on availability, production schedules, and logistical considerations.
- Special Missions and Bonuses
- Optional Special Missions. RydFree may present Drivers with opportunities to participate in special missions, which involve driving specific routes at designated times for advertising purposes. Participating in these missions is entirely optional and subject to the Driver’s availability and consent.
- Incentives for Special Missions. Drivers who opt to participate in special missions may be eligible for additional bonuses, which could include benefits such as free fuel, supermarket vouchers, or cash payments. These incentives are designed to reward Drivers for their participation and contribution to RydFree’s advertising initiatives. The availability of these missions and associated bonuses will depend on the location and operational requirements of RydFree.
- Prohibition of ImpairmentThe Driver must at all times operate the vehicle responsibly and lawfully. RydFree Ltd maintains a zero-tolerance policy towards impaired driving. The Driver is strictly prohibited from driving the vehicle while under the influence of alcohol, illegal drugs, or any substance that impairs their ability to drive safely, including prescription medications that may cause drowsiness or otherwise affect their driving capability.If RydFree becomes aware of any incident, the Driver will immediately be required to return the vehicle. The Driver will also be held liable for any damages or legal consequences resulting from their impaired driving.
- Accidents, Damage, and Incident Reporting
- Immediate Reporting of Accidents or Damage. In the event of an accident, collision, or any form of damage to the vehicle, the Driver must report to RydFree immediately and this applies regardless of the severity of the incident or the extent of the damage. The Driver must call the emergency contact number provided by RydFree Ltd at the time of vehicle delivery. If the incident occurs outside of the designated emergency helpline hours, the Drivers must leave a detailed message on the company’s system.
- Disclosure of Information. The Driver must provide full details of the incident, including the date, time, location, and a description of the events leading up to and following the incident. The Driver must also provide any available information about other parties involved.
- Cooperation and Insurance Process. The Driver must fully cooperate with RydFree and its insurance providers in the investigation and processing of any claims arising from the incident. This includes but is not limited to:
- The Driver must provide accurate and complete information about the incident, including any witness statements and evidence such as photographs or video recordings;
- The Driver must complete any required forms or documentation as requested by RydFree or its insurance providers on time; and
- The Driver may be required to attend assessments or interviews to provide further details about the incident as part of the insurance claim process.
- Liability for Unreported Incidents. Failure to report an accident or damage incident immediately or failure to cooperate with the insurance process may result in the Driver being fully liable for any costs resulting from the damage which may include the cost of repairs, increased insurance premiums, and any legal costs incurred by RydFree Ltd.
- Inspection and Return of Vehicle
- RydFree reserves the right to thoroughly inspect the vehicle upon the cancellation of this Agreement or the return of the vehicle by the Driver. The inspection includes, but is not limited to the following aspects:
- All the relevant documentation, including the vehicle logbook, insurance documents, and any additional paperwork provided at the time of delivery, must be returned;
- All keys, including any spare keys provided, must be returned to the Company.
- The vehicle must be returned in a clean condition, both inside and outside. The Driver is responsible for removing all personal items from the vehicle before return. RydFree is not liable for any personal items left in the vehicle.
- All equipment provided with the vehicle, such as any digital billboards, sensors, and cameras must be in working order and intact. The vehicle must be in full operational condition, with all mechanical and electronic systems functioning properly.
- Final Settlement. Any disputes regarding the findings of the vehicle inspection and the subsequent costs will be resolved according to the dispute resolution procedures outlined in this Agreement. The final settlement will include a detailed account of any costs deducted from the £200 processing fee or any additional charges levied on the Driver.
- RydFree reserves the right to thoroughly inspect the vehicle upon the cancellation of this Agreement or the return of the vehicle by the Driver. The inspection includes, but is not limited to the following aspects:
- Replacement of Vehicle Post Incident
In the event of an accident resulting in the vehicle being rendered unusable or in need of extensive repairs, RydFree may, at its sole discretion, provide a replacement vehicle to the Driver. The Company reserved the right not to provide a replacement vehicle in certain situations. This includes but is not limited to:

- If no suitable vehicles are available at the time of the accident;
- If the accident is determined to be a result of negligence, reckless driving, or violation of this Agreement by the Driver;
- If the Driver has been involved in multiple incidents or accidents, indicating a pattern of unsafe driving or mishandling of company vehicle;
- RydFree is not liable for any inconvenience, costs, or damages incurred by the Driver due to the unavailability of a replacement vehicle. The Driver agrees that the provision of a replacement vehicle is at the sole discretion of RydFree Ltd and subject to the conditions outlined in this Agreement.
- If a replacement vehicle is provided, the Driver must comply with all terms and conditions of this Agreement as they apply to the new vehicle. This includes maintaining the vehicle in good condition, reporting incidents, and adhering to all usage guidelines.

- Entire agreement
- This letter agreement constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.
- Each party acknowledges that in entering into this letter agreement it does not rely on, and shall have no remedies in respect of, any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this agreement.
- Severability. If any provision of this Agreement is found to be invalid or unenforceable under applicable law, such provision will be ineffective only to the extent of such invalidity or unenforceability, without invalidating the remaining provisions of this Agreement.
- Assignment The Driver may not assign, transfer, or subcontract any of its rights or obligations under this Agreement without the prior written consent of the Company. The company may assign, transfer, or sub-contract its rights or obligations under this Agreement to a third party without the Driver’s consent.
- Third-party rights This letter agreement does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this letter agreement.
- Data Confidentiality
- Company Data Confidentiality. RydFree is dedicated to ensuring the confidentiality and security of all personal data provided by the Driver. Our comprehensive Privacy Policy available on our website outlines how your data is collected, used, and protected. - Driver’s Confidentiality Obligations. Drivers are required to maintain the confidentiality of any proprietary or sensitive information acquired through their relationship with RydFree. This includes but is not limited to personal data, business strategies, operational processes, and any other non-public information. Drivers must not disclose such information to any unauthorized individuals or entities and must take reasonable precautions to prevent any accidental disclosure. Breach of this obligation may result in termination of this Agreement and potential legal action.
- Governing Law This Agreement and any disputes or claims arising out of or in connection with it, its subject matter, or its formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
- Jurisdiction The parties agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement, its subject matter, or its formation (including non-contractual disputes or claims).This Agreement serves as a comprehensive guideline for any individual interested in driving with RydFree Ltd. The Driver acknowledges that they have read and understood the terms and conditions stipulated in this Agreement.
